Welcome to Relay! These Terms of Use ("Terms") govern your access to and use of the Relay mobile application and related services (the "Service"), provided by Kouidev ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of Service

Relay is an AI-powered calling assistant that allows users to initiate phone calls where an artificial intelligence agent speaks on their behalf based on provided instructions. The Service includes features such as call transcription, call summaries, and contact management.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3. User Accounts

  • Registration: You must register for an account to use the Service. You agree to provide accurate and complete information.
  • Security: You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account.
  • Termination: We reserve the right to suspend or terminate your account if you violate these Terms.

4. Call Credits and Payments

  • Credits: The Service may require "Call Credits" to function. Credits are deducted based on the duration of calls made.
  • Purchases: You may purchase credits or subscriptions through the app. All purchases are final and non-refundable, except as required by applicable law.
  • Expiration: We reserve the right to expire unused credits if your account remains inactive for a significant period, subject to applicable laws.

5. User Conduct and Responsibilities

You agree NOT to use the Service to:

  • Illegal Activity: Engage in any unlawful, fraudulent, or malicious activity.
  • Harassment: Harass, abuse, threaten, or defame any person or entity.
  • Robocalling/Spam: Make unsolicited marketing calls or "spam" calls in violation of the TCPA (Telephone Consumer Protection Act) or other applicable telemarketing laws.
  • Emergency Services: Do not use Relay for emergency calls (e.g., 911). The Service is not a replacement for traditional telephone services for emergencies.

IMPORTANT: Call Recording Laws

The Service involves the recording and transcription of phone conversations. Laws regarding the recording of phone calls vary by jurisdiction (e.g., "one-party consent" vs. "two-party consent" states).

  • You are solely responsible for complying with all applicable laws regarding call recording and wiretapping in your jurisdiction and the jurisdiction of the call recipient.
  • By using the Service, you represent that you have obtained all necessary consents to record the call.

6. AI Limitations

  • Accuracy: The Service uses Artificial Intelligence (AI) to generate responses. AI can make mistakes, hallucinate facts, or misunderstand instructions. We do not guarantee the accuracy, reliability, or suitability of the AI's responses.
  • No Professional Advice: The AI is not a substitute for professional advice (legal, medical, financial, etc.).

7. Intellectual Property

The Service and its original content, features, and functionality are owned by kouidev.com and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL KOUIDEV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
